Suppliers and customers should note that all supply and purchase
arrangements are subject to our standard terms and conditions unless otherwise
agreed in writing.

Standard Terms and Conditions for Yetimo Customers

Whilst we always endeavour to meet your deadline, extra costs
including freight costs that are incurred due to changes to
specification/design, delays in providing full specifications/designs, or late
purchase order or production sign-off will be recharged to you at cost.
|

Customers are responsible for communicating specific product
quality, production and factory standards they require to be complied with to
Yetimo in advance of a quotation being made. This includes standards for
factory working conditions. Changes to or late communication of such standards
may result in changes to the price and/or delays, the results of which may be
recharged to the customer.

| • |
In the case of a cancellation after a purchase order has been
placed with Yetimo, the customer is liable for any costs or liabilities
associated with that order already incurred by Yetimo up to the full value of
the order. The customer agrees to inform Yetimo as quickly as possible of any
cancellation, and Yetimo will use its best efforts to minimise the customer’s
liability, including taking reasonable steps to cancel any undertakings already
entered into with suppliers if this is possible.

The customer will inform Yetimo of any intellectual property,
design or patent rights associated with any product manufactured in accordance
with an order from them. They will not request that Yetimo supplies or imports
any product that infringes the intellectual property, design or patent rights
of another party, and are responsible for any such infringement.

| • |
If a customer requests that Yetimo develops a product on their
behalf, sufficient time must be allowed for prototyping. Whilst Yetimo will
make every reasonable effort in accordance with appropriate professional
standards to accommodate a client’s request for fast delivery, if the
prototyping process is accelerated or incomplete in order to comply with such a
request the client accepts financial responsibility for the results of that
process and indemnifies Yetimo for non-recoverable costs incurred.

Invoicing and correspondence relating to all contracts must quote
the Yetimo purchase order number. Failure to do so could result in the delay of
payment of invoices.
|
| • |
Exceptions will apply in the event of delays in completion of
commitments by either party due to events, non-happenings, omissions, accidents
or acts of God beyond what could reasonably be controlled or foreseen by that
party or their associates or agents, including but not limited to: industrial
action; civil commotion; riots; war; fire; explosion; sabotage; storm; flood;
earthquake or collapse of structure.

Payment is to be received by Yetimo no later than 30 days from the
date of invoice.
As we work a low margin for you, our customer, and as we pay for all goods from
overseas well before shipment, the cost of money is an important component in
our costings and thus any account that is outside the agreed trading terms
shall incur a 2.5% per month (or part thereof) service fee. Notwithstanding the
service fee, payment is required within our trading terms and imposition of a
service fee is not an agreement from Yetimo Marketing to extend an additional
payment period unless otherwise agreed to in writing by Yetimo Marketing on a
case by case basis.
Should an invoice or
part of an invoice be in dispute then we acknowledge that may delay payment
until the resolution of the dispute, however any invoices or parts of an invoice
that are not in dispute are due for payment within the above trading terms

Standard Terms and Conditions for Yetimo Suppliers
|
| • |
Suppliers are responsible for maintaining a high quality standard,
and for providing completed orders of identical quality to approved samples
and/or agreed quality specifications. Yetimo will not normally pay for orders
which are below acceptable quality standards.
|
| • |
Dupro (start of production) and final random inspections may be
carried out by Yetimo or an appointed independent inspector, and will allow for
1.5% major and 4% minor faults, unless otherwise agreed.
|
| • |
Any changes to delivery timing must be communicated as early as
possible and agreed with Yetimo in writing. If a timing change caused by delays
on the supplier’s part means that a delivery date cannot be met by the planned
freight method then the supplier will arrange for the goods to be airfreighted
at the supplier’s expense. Otherwise Yetimo may arrange airfreight and recharge
the difference in price back to the supplier.

Extra freight costs that are incurred due to packing changes made
by the supplier from what was originally agreed to will be charged back to the
supplier.
|
| • |
No shipment of any order will be allowed until Yetimo confirms to
the supplier that agreed quality standards have been met, based on final
inspections or test results.
|
| • |
No designs, trademarks and copyright material supplied by Yetimo or
Yetimo’s clients may be produced, copied or supplied to another party in whole
or part without the express written permission of Yetimo.
|
| • |
Ownership of design work completed during the course of producing
an order for Yetimo vests in Yetimo from the moment of creation.
|
| • |
The supplier warrants that they will not supply Yetimo with any
product or design that infringes the design, patent or intellectual property of
another company or party.
|
| • |
